Bot SDK Terms and Conditions

Please read these Bot SDK Terms and Conditions (“Bot Terms”). These Bot Terms hereby incorporate by reference our then-current Terms of Use (“Towns Terms”), available at https://townhall.towns.com/Terms-Of-Use-Agreement-1ba3562b1f4e80258d22fda9963b6602.

These Bot Terms and the Towns Terms shall constitute a binding agreement between you and Here Not There, Inc.,d/b/a Towns Labs (“Towns,” “we,” “us” or “our”), and shall govern your access to and use of Towns’s Bot Software Development Kit (“SDK”). Capitalized terms used and not otherwise defined herein shall have the meanings set forth in the Towns Terms. Any reference in the Towns Terms to “Service” or “Services” therein shall include the SDK.

In the event of any conflict between any term or condition set forth in these Bot Terms and any term or condition set forth in the Towns Terms, the term or condition set forth in these Bot Terms will prevail, but solely to the extent such conflict exists.

BY USING THE SDK AND/OR CONNECTING A DIGITAL WALLET TO ANY OF OUR WEBSITES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE BOT TERMS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH TOWNS, (3) YOU HAVE THE AUTHORITY TO ENTER INTO THESE BOT TERMS PERSONALLY OR ON BEHALF OF THE ENTITY (WHETHER OR NOT SUCH ENTITY IS REGISTERED OR INCORPORATED UNDER THE LAWS OF ANY JURISDICTION) YOU ARE ACTING ON BEHALF OF, AND TO BIND THAT ENTITY TO THESE BOT TERMS; AND (4) YOU UNDERSTAND AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SDK COMPLIES WITH THE LAWS OF YOUR JURISDICTION. IF YOU DO NOT AGREE TO BE BOUND BY THESE BOT TERMS, YOU MAY NOT ACCESS OR USE THE SDK.

We may at our sole discretion modify these Bot Terms on a going-forward basis. We will post above the date of the most recent update.

1. SDK LICENSE.

1.1 License. Subject to the terms and conditions of these Bot Terms, Towns hereby grants you a non-exclusive, non-transferable, non-sublicensable, revocable right and license to use the SDK during the term of the Agreement solely (a) to develop bots and other dApps designed to interoperate with the Apps and Protocol (“Bots”) and (b) to distribute Bots and other dApps to end users of the Apps and Protocol.

1.2 Restrictions. You may not, except as expressly set forth herein (a) modify, create derivative works of, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the SDK or any portion thereof; (b) distribute, publish, sell, transfer, assign, lease, rent, lend, or sublicense the SDK or any portion thereof to any third party; or (c) remove, alter, or obscure in any way any copyright notices of Towns or its suppliers included or within the copies of the SDK. As between you and Towns, you shall bear sole responsibility for the development, use and/or operation of Bots. You will ensure that such development, use and operation comply in all respects with the terms of the Agreement, as well as with all applicable laws and regulations.

1.3 Bots. For the avoidance of doubt, you are solely responsible for any Bots that you developusing the SDK. This means, without limitation, that you are liable (and we will have no liability) to any end users of your Bots in connection with their use of same. If you develop a Bot and make it available to any end user, you agree that such end user’s access to the Bot will be accompanied by an end user license agreement (“EULA”) which will govern end users’ use thereof. Each EULA shall (a) be no less protective of Towns than the terms of the Agreement, (b) comply with applicable laws, and (c) allocate liability for any direct or indirect damages caused by a Bot to you, and not to Towns. For the avoidance of doubt, Towns shall not be responsible for, and shall not have any liability whatsoever to you or any third party in connection with, any Bot, any EULA, or any breach thereof by you or any end user of your Bots.

2. SDK OWNERSHIP. Towns and its licensors own all right, title, and interest, including all patent, copyright, trade secret, trademark, and other intellectual property rights in and to the SDK (including all components thereof), and any modifications or updates thereto. Towns retains all right, title and interest in and to the SDK, and you will not own or acquire any rights in or to the SDK except for the limited license granted herein.

3. SDK FEES. Access and use of the SDK is currently free. However, Towns reserves the right to charge fees (“Fees”) in connection with your use of the SDK at any time. Such Fees will be displayed to you prior to you bearing any responsibility for same; in the event you object to any such Fees, your sole remedy is not to use thereafter and you hereby agree you will not use thereafter the SDK.

4. DISCLAIMERS; NO WARRANTIES. TOWNS PROVIDES THE SDK “AS IS” AND MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO PERFORMANCE OF THE SDK AND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOWNS DISCLAIMS ANY AND ALL OTHER REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. TOWNS DOES NOT WARRANT THAT THE SDK WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SDK WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ALL ERRORS WILL BE CORRECTED.
